This Registration is only valid for 90 days from the date hereof and only in connection with a fully executed Cooperating Broker Agreement (“Co-Broker Agreement”) between Cooperating Sales Agent, Cooperating Broker and ISG North Bay, LLC (“ISG”) in the form approved by ISG North Bay. In the event that the named Customer is already deemed a registered Customer, than this Registration shall not be valid. Cooperating Sales Agent and Cooperating Broker acknowledge that unless Customer has entered into a binding purchase agreement during the 90 day term of this Registration, Cooperating Sales Agent and Cooperating Broker shall not be deemed the procuring cause, unless: (1) Cooperating Sales Agent/Broker re-registers Customer for an additional 90 day term by accompanying Customer to Broker’s sales office prior to expiration of the initial 90 day term and receives written approval of an extension from an executive officer of Broker, and (2) Customer executes a purchase agreement during the extended term, which purchase agreement becomes binding after the expiration of any statutory rescission period. If the Registration period expires after Customer executes a purchase agreement, which becomes binding after the expiration of any statutory rescission period, then Customer shall be deemed registered to Broker. 2. Cooperating Sales Agent or Cooperating Broker must accompany and register Customer with Broker on Customer’s initial visit to Broker’s sales office. A Customer who initially visits the Broker’s sales office or registers without a Co-Broker shall be registered exclusively to Broker for a period of one (1) year. However, if a Customer first visits the Broker’s sales office without the Co-Broker because the Co-Broker was unable to accompany the Customer on the first visit, the Customer must notify Broker, in writing, at the time of the Customer’s initial visit that the Customer is working with the Co-Broker. The designated Co-Broker must then sign and submit the Registration Form within forty-eight (48) hours of the Customer’s first visit. If Customer does not notify Broker in writing as specified above or denies working with the Co-Broker or Co-Broker fails to sign and submit the registration form within 48 hours of Customer’s first visit, Broker is not obligated to pay a commission to the Co-Broker. 3. Any and all commissions will be paid as specified in the Co-Broker Agreement when funded by (the “Owner”) to Broker. In the event that the Owner shall be lawfully required to return the deposit to the Purchaser then the Co-broker shall be obligated to return the commission to the Owner. An opinion by Owner’s counsel that Owner is obligated to return the deposit to the Purchaser will be conclusive proof of Owner’s obligation in this respect, providing only that Owner does make that refund. 4. This Registration applies only to the identified Customer at the Project and not any other prospective purchaser or customer at the Project or any other project. Neither Cooperating Sales Agent nor Cooperating Broker may rely upon this Registration for any transaction other than the one specifically involving Customer during the effective term of this Registration. 5. Cooperating Broker and Cooperating Sales Agent jointly and severally agree to indemnify and hold Owner, its members, officers, employees, affiliates, successors and assigns, and ISG North Bay harmless from and against any and all losses, claims, demands, damages, costs and expenses of whatever nature or kind including reasonable attorneys’ fees and costs and appellate fees and costs relating to or arising out of any claims against Owner and/or ISG North Bay as a result of any representation or other conduct by either Cooperating Broker or Cooperating Sales Agent which are made or done without the express written consent of ISG North Bay and Owner. 6. Neither Cooperating Sales Agent nor Cooperating Broker shall pay or offer to pay Customer or any other person a referral fee, rebate, bonus, gratuity, commission or other form of compensation or consideration, for the purchase by Customer of a condominium at the Project, without the prior written consent of the Owner and ISG North Bay. 7. The registration forms, mailing lists, purchaser lists and other records of prospective or actual purchasers are proprietary to ISG North Bay and Owner and are confidential trade secrets. Cooperating Sales Agent and Cooperating Broker are not entitled to review the contents of any of the foregoing. Cooperating Sales Agent and Cooperating Broker agree not to enter into any negotiations directly or indirectly with any Unit Owner at the Project or any customer or prospective purchaser deemed registered to ISG North Bay regarding the reservation, purchase, lease and or option of the Project, except with the direct participation or express prior written approval of ISG North Bay and Owner. 8. Cooperating Sales Agent and/or Cooperating Broker each agree to comply, abide and be bound by all laws, rules, regulations and codes of ethics promulgated or adopted by any state or local authority or board realtors regulating the conduct of real estate brokers and Sales Agents and the payment of real estate commissions, including, without limitation, Florida Statutes 475, the Rules of the Florida Real Estate Commission and the Rules, Regulations and Code of Ethics formulated and/or adopted by the local Board of Directors. In addition, Cooperating Sales Agent and Cooperating Broker shall not interfere with ISG North Bay’s employee’s performance or duty of loyalty to ISG North Bay and/or the Owner. Further, and unless Cooperating Sales Agent and/or Cooperating Broker notify ISG North Bay in writing of their respective exclusion from the requirement for such licensure upon execution of this Agreement, Cooperating Sales Agent and Cooperating Broker represent and warrant that their respective applicable Real Estate Licenses are current and in good standing and that they will maintain such status at all times material to this Registration. 9. In the event Cooperating Broker holds an international broker license and wishes to receive commission under the Co-Broker Agreement, Cooperating Broker agrees to provide any additional supporting documentation as requested and approved by Broker or Owner prior to payment of commission. 10. Cooperating Sales Agent represents that s/he registered Purchaser with the Project on behalf of Cooperating Broker and is authorized by the Cooperating Broker to register Purchaser on behalf of him/herself and Cooperating Broker. Cooperating Sales Agent has read the Terms and Conditions of this Registration and agrees on behalf of him/herself and the Cooperating Broker, to abide by and be bound by these Terms and Conditions. Cooperating Broker hereby represents to Broker that the Cooperating Broker has made all disclosures required by Florida law to the customer including, but not limited to, the fact that Broker is the “Seller’s” agent. 11. Cooperating Sales Agent and Cooperating Broker acknowledge that Broker is the exclusive representative for the sale of units in the Project and agree to work directly with Broker's salespersons on the sale of any residence, and Cooperating Sales Agent and Cooperating Broker agree not to make any representation regarding pricing, policies or procedures of Broker or the Owner, nor negotiate with Broker's salespersons or Owner or Owner’s contractor on behalf of Customer regarding commissions, purchases, leases, and/or options pertaining to any condominium unit without prior written approval of Broker or Owner. 12. Cooperating Broker is acting as independent contractor of Owner and nothing contained in this Agreement or in this relationship with Broker shall be deemed to constitute a partnership, joint venture or any other relationship between Cooperating Sales Agent and Cooperating Broker and Broker or Owner. Cooperating Sales Agent and Cooperating Broker do not have any authority to make any representation nor execute any agreement for or on behalf of Broker or Owner. 13. From time to time, Broker or Owner may sponsor openings, promotional events, or other forms of showcase events to which the public may be invited in order to acquaint the public with the Project. Any invitation extended to Cooperating Sales Agent and/or Cooperating Broker is strictly for informational purposes and affords Cooperating Sales Agent and Cooperating Broker an opportunity to better acquaint himself/herself with the residences available at the Project. Therefore, Cooperating Sales Agent and Cooperating Broker shall not solicit, by any direct or indirect means, any person who may be present at these events for Cooperating Sales Agent’s or Cooperating Broker's own account in order to induce a person to register through Cooperating Broker. All persons present at these events are deemed registered to Broker. Furthermore, Cooperating Sales Agent and Cooperating Broker who are invited to attend these events shall not wear company badges or name plates. 14. EACH PARTY HEREBY KNOWINGLY, VOLUNTARILY AND INTENTIONALLY IRREVOCABLY WAIVES THEIR RIGHT TO A TRIAL BY JURY WITH RESPECT TO ANY LITIGATION BETWEEN THE PARTIES, INCLUDING ANY DIRECTLY OR INDIRECTLY RELATING TO THIS REGISTRATION FORM AND THE SUBJECT MATTER THEREOF. ANY PARTY HERETO MAY FILE A COPY OF THIS REGISTRATION FORM WITH ANY COURT AS CONCLUSIVE EVIDENCE OF THE CONSENT OF THE PARTIES HERETO TO THE WAIVER OF ANY RIGHT THEY MAY HAVE TO TRIAL BY JURY.

Broker / Agent Terms and Conditions
1.
